These Terms of Service (“Terms”) govern your use of boardops.org and any BoardOps hub account you create. The site and hub are operated by CMJ Consulting LLC d/b/a BoardOps (“BoardOps,” “we,” “us”). By using the site or creating an account, you agree to these Terms.
1. Relationship to district agreements
If your organization has a signed Master Subscription Agreement, Order Form, or Data Privacy Agreement with CMJ Consulting LLC d/b/a BoardOps, those signed agreements control over these Terms to the extent of any conflict — including as to fees, refunds, data handling, retention, and deletion. These Terms govern your use of the public website and your individual hub account where no signed agreement applies.
2. Eligibility and accounts
You must be at least 18 years old to create an account. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for activity under your account. Notify us promptly at contact@boardops.org if you believe your account has been accessed without authorization.
3. Acceptable use
You agree not to: (a) use the services in violation of applicable law or the rights of others; (b) attempt to gain unauthorized access to the services, other accounts, or our systems; (c) interfere with or disrupt the integrity or performance of the services; (d) reverse engineer or copy the services except as permitted by law; or (e) use the services to store or transmit unlawful, infringing, or malicious content. We may suspend access to protect the services or other users.
4. The services and availability
We provide the services as described on the site. We work to keep the services available but do not guarantee uninterrupted or error-free operation, and we may modify, suspend, or discontinue features. Where your organization has a signed agreement, any service-level commitments in that agreement control.
5. AI features
Some services include AI-assisted features that generate drafts, summaries, and suggestions. This output is assistive only, may be inaccurate, and is not legal, financial, or professional advice. You are responsible for reviewing AI output before relying on it or acting on it.
6. Intellectual property
The services, including their software, design, and content, are owned by BoardOps or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the services in accordance with these Terms. You retain rights to the content you submit; any rights in district data are governed by your organization’s signed agreement.
7. Privacy
Our collection and use of personal information is described in the BoardOps Privacy Policy, which is incorporated into these Terms by reference.
8. Disclaimers
Except as expressly stated in a signed agreement, the services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will meet your requirements or be error-free.
9. Limitation of liability
To the fullest extent permitted by law, BoardOps will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or relating to your use of the services. Where your organization has a signed agreement, the liability terms of that agreement control.
10. Termination
You may stop using the services at any time. We may suspend or terminate access if you violate these Terms or to protect the services or other users. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.
11. Governing law and venue
These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the services will be resolved in the state or federal courts located in Dakota County, Minnesota, and you consent to their jurisdiction.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the services after a change takes effect constitutes acceptance of the updated Terms.
